1. Agreement to these terms

These Terms & Conditions ("Terms") govern your use of arcley.ca and our services. The website and services are operated by InnovawsoN Inc. ("Arcley", "we", "us"). By using this website, submitting an application, or booking a call, you agree to these Terms and to our Privacy Policy.

2. Our services

Arcley provides growth-infrastructure services for owner-operated businesses, typically in this sequence:

• Assessment call — a free, no-obligation structured conversation about how your business runs;
• Growth Blueprint — a written analysis delivered after the assessment, identifying structural gaps and recommended build order;
• Implementation engagements — system builds (for example reputation, follow-up, lead capture, websites and funnels, reporting) scoped and quoted individually.

Submitting an application does not obligate us to provide services; we review every application and may decline where we're not the right fit.

3. Fees and payment

The assessment call and Growth Blueprint as described on this site are provided at no charge unless otherwise agreed in writing. Implementation engagements are custom-quoted: scope, deliverables, fees, and payment terms are agreed in a separate written proposal or agreement before work begins. That agreement governs if it conflicts with these Terms.

4. Your responsibilities

• Provide accurate, current information in applications and during assessments;
• Attend scheduled calls or reschedule in advance through the link in your confirmation email;
• Use the website lawfully and refrain from interfering with its operation, scraping, or misusing any forms.

5. No guarantee of results

We provide analysis and build systems with professional care, and we tell you the truth about what we find. However, business outcomes depend on factors outside our control — your market, execution, pricing, team, and timing. We do not guarantee any specific revenue, lead volume, ranking, or other business result. Testimonials and case results shown on this site reflect specific clients' experiences and are not a promise of similar outcomes.

6. Not professional advice

Our assessments and blueprints are business-operations analysis. They are not legal, financial, accounting, or tax advice. Decisions you make based on them are your own; consult the appropriate professionals where needed.

7. Intellectual property

The website, its content, and our methodologies, frameworks, and templates are owned by Arcley or our licensors. When we deliver a Growth Blueprint or other work product to you, you receive a non-exclusive right to use it within your business (including with other vendors). We retain ownership of our underlying methods and know-how. You may not resell, republish, or repackage our materials without written permission.

8. Communications

By applying or booking, you agree we may contact you about your application and services by email and phone. SMS communications are governed by the consents you give on our forms — see our Privacy Policy (message frequency varies; message & data rates may apply; text HELP for help, STOP to opt out).

9. Limitation of liability

To the maximum extent permitted by law: the website and free services are provided "as is" without warranties of any kind; we are not liable for indirect, incidental, special, or consequential damages, or lost profits or revenue; and our total aggregate liability arising out of or related to the website or services will not exceed the amounts you paid us in the twelve (12) months before the claim (or CAD $100 if you have paid nothing). Nothing in these Terms limits liability that cannot be limited under applicable law.

10. Indemnity

You agree to indemnify Arcley against claims arising from your breach of these Terms or misuse of the website, to the extent permitted by law.

11. Governing law

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable therein. Disputes will be resolved in the courts of Ontario, and you consent to their jurisdiction.

12. Changes and severability

We may update these Terms from time to time; the "Last updated" date reflects the current version, and continued use of the site constitutes acceptance. If any provision is found unenforceable, the remainder stays in effect.
